Limits of liability and risk allocation on Part Sync.

Part Sync's Limited Liability
Part Sync is a platform facilitator only - NOT a seller or buyer
Part Sync is NOT responsible for:
- Part quality or authenticity
- Supplier performance or conduct
- Part compatibility with vehicles
- Delivery failures or delays
- Transaction outcomes
- Disputes between buyers and suppliers
Maximum Liability to Part Sync:
- Buyers: 1 month membership fee
- Suppliers: 1 month membership fee
Supplier Liability
Part Defects:
- Supplier liable up to transactional value of specific part
- NOT LIABLE for consequential damages
- Example: £100 part causes £5,000 engine damage = £100 max liability
Mis-Described Parts:
- Supplier liable up to transactional value of specific part
- Buyer entitled to return and full refund
- Supplier responsible for any return shipping costs if part mis-described
Delivery Failures:
- Supplier liable up to transactional value of specific part
- Reduced liability if delivery late but completed
- Full refund if delivery fails completely
- Supplier pursues courier for lost/damaged items
Transit Risk:
- Supplier bears risk during transit
- Liable until delivery confirmation or successful collection
- Must have appropriate courier insurance for high-value items
Buyer Liability
False Claims:
- Buyer liable for legal pursuit costs
- Supplier and/or Part Sync legal fees
- Compensation for damages
- Possible account termination
Payment Disputes & Chargebacks:
- Buyers must use internal dispute process
- Chargebacks without attempting resolution:
- Full transactional value clawed back from supplier
- Chargeback fees passed on
- Possible account suspension
Return Responsibility:
- Buyer pays all return shipping costs (except mis-described parts)
- Buyer responsible for item until received by supplier
- Must use appropriate packaging and insurance
- Liable for damage during return transit (if inadequate packaging)
Data Security - Shared Responsibility
Part Sync implements industry-standard security measures, but users must also take precautions:
User Obligations:
- Enable 2FA (email OTP) on account
- Use secure, unique passwords
- Do not save login credentials on shared computers
- Use password-protected devices
- Maintain up-to-date antivirus software
- Keep devices virus-free and secure
- Do not share account credentials
- Report suspicious activity immediately
Reduced Liability:
Part Sync's liability is reduced or eliminated if user fails to follow security best practices and account is compromised as a result.
Force Majeure
Neither party (Part Sync, buyers, or suppliers) is liable for failure to perform obligations due to uncontrollable events:
- Natural Disasters: Floods, earthquakes, storms, etc.
- Pandemics: COVID-19 and other public health emergencies
- War/Armed Conflict: War, terrorism, civil unrest
- Strikes/Industrial Action: Labor disputes affecting operations
- Government Restrictions: Lockdowns, trade restrictions, regulatory changes
- Platform Outages: Due to external factors (DDoS attacks, infrastructure failures)
- Utility Failures: Power outages, internet disruptions
Example: If government lockdown prevents supplier from accessing stock, supplier not liable for delivery failure during that period.
Indemnification
Users Indemnify Part Sync For:
- Third-party claims arising from user's conduct on platform
- Breach of terms and conditions
- Violation of laws or regulations
- Infringement of intellectual property rights
- Regulatory fines due to user's non-compliance (e.g., ELV violations by dismantlers)
Part Sync Does NOT Indemnify Users For:
- Platform failures or downtime
- Data breaches (beyond Part Sync's reasonable control)
- Transaction disputes between buyers and suppliers
- Third-party actions (courier failures, manufacturer defects, etc.)
Exclusions and Limitations
To the maximum extent permitted by law:
- Part Sync provides platform "as is" without warranties of any kind
- No guarantee of uninterrupted or error-free operation
- No guarantee that platform will meet specific requirements
- No liability for indirect, incidental, special, consequential, or punitive damages
- No liability for loss of profits, revenue, data, or goodwill
- Total aggregate liability capped at 1 month membership fee
Consumer Rights
Nothing in these terms affects your statutory rights under UK consumer protection law. If you are a consumer (not a business), certain protections cannot be excluded or limited.
